Terms of Service

Welcome to SpeakerFlow! This agreement outlines the terms and conditions for working with us. By working with SpeakerFlow, you agree to the following terms:

Umbrella Terms

Data Ownership

  • Client Data: You own all your data. We only use it for the purposes specified by you.
  • Storage: We may store your data during our working agreement, including projects and support. We will delete your data upon request.

Indemnification / Limitation of Liability

  • Zoho Terms: By working with us, you also agree to Zoho’s terms of service. We are not liable for anything under Zoho’s terms.
  • Vendors and Contractors: We are not liable for the actions of vendors and contractors we work with.
  • Liability: We are not liable for any direct, indirect, or punitive damages, including but not limited to loss of profits, business interruption, or loss of data. We are not responsible for any damages or losses caused by the use of or inability to use our services, whether caused by our actions, omissions, negligence, or other reasons.

Governing Law

  • Wyoming Law: Our company is based in Wyoming, and any disputes are governed by Wyoming law in Wyoming courts.

Confidentiality

  • Confidential Information: All confidential information must be kept confidential and used only for fulfilling the service agreement. This information includes anything not already public or received from a third party without a confidentiality obligation.

Support

  • Standard-Level Support: We offer support Monday through Thursday, 9-5 pm Central via email at [email protected]. We also provide asynchronous coursework and community feedback through SpeakerFlow University. We strive to respond quickly but do not guarantee response times.
  • Business Closure: SpeakerFlow closes on all federal holidays and other times throughout the year. Support response time may be delayed during these times.
  • Meetings: SpeakerFlow determines when and how often meetings are appropriate. Requests for a meeting can be made, but a time slot is not guaranteed.

Kindness and Professionalism Policy

  • Professional Environment: At SpeakerFlow, we believe in maintaining a professional and respectful environment.
  • Client Expectations: We expect our clients to be kind and humble in their interactions with our team. While we understand that situations can sometimes be frustrating, clients should not take out their frustrations on us.
  • Termination: If a client is repeatedly disrespectful or behaves inappropriately, we reserve the right to terminate our working relationship.
  • Refund Policy: In cases of termination due to disrespectful behavior, the client will be subject to our refund policy according to the terms of the service they have purchased.

Service-Specific Terms

Initial Implementation - Flow Zone and Flow Zone+

  • Project Timeline: Projects will not exceed 120 days.
  • Project Extensions:
    • Extensions may be given but are not guaranteed.
    • Extensions are given in good faith and do not extend the initial terms of service.
    • SpeakerFlow determines the extension length.
  • Process: We follow a five-phase process, and the client must follow our lead:
    • Assessment: Client completes an assessment with SpeakerFlow.
    • Investigation: SpeakerFlow investigates current systems.
    • Development: Zoho account development.
      • New Zoho account created.
      • Additional features developed.
      • Migration completed as defined by SpeakerFlow.
      • Spreadsheets imported only if formatted to our standards. No guarantees.
    • Implementation: Live training and Q&A meetings.
    • Graduation: Ongoing support after project completion.
  • Compliance: Using specified technology is required. Non-compliance will result in termination. 
  • Payments and Fees: Client agrees to pay the agreed amount for services, including SpeakerFlow fees and Zoho subscriptions.
  • Refunds:
    • Refunds can be requested within 120 days from the purchase date.
    • Refund amount will be based on the progression of our five-step process. Below is the amount refunded corresponding to the phase of the process the client is in.
      • Assessment: 80%
      • Investigation: 60%
      • Development: 40%
      • Implementation: 20%
      • Graduation: 0%
  • Feasibility:
    • SpeakerFlow determines what is feasible in the scope of a given project.
    • We reserve the right to refuse unfeasible work or request additional compensation on a case-by-case basis.
  • Ghosting Policy:
    • If a client ceases communication for over 30 days, the project is put on hold.
    • Projects held for six months are considered complete and non-refundable.
    • Restarting a project requires a fee of 50% of the original purchase price.

Initial Implementation - Power Up

  • Customization: We will customize a new Zoho account to our specifications. Additional requests are subject to extra charges. The client participates by completing tasks such as updating email addresses and billing information.
  • Project Timeline: Projects will not exceed 30 days. Typically completed within two weeks, but no guarantees are made. If communication ceases for more than 30 days, the project is considered complete.
  • Refunds: No refunds are given at any time for any reason.

A-La-Carte Services

  • Included Services:
    • A-la-carte Zoho development
    • A-la-carte meetings
  • Requests:
  • Feasibility:
    • SpeakerFlow determines feasibility.
    • We reserve the right to refuse unfeasible work or request additional compensation on a case-by-case basis.
  • Quoting:
    • Clients can accept or decline the quote.
    • If the quote is accepted, SpeakerFlow will complete the work and bill once the client approves the work.
    • If the client doesn’t approve within 14 days of completion, the invoice will be sent out.
    • No refunds will be given at any time for any reason.

Service Subscriptions

  • Included Services:
    • VIP support
    • Unlimited implementation
    • Systems advisory
    • Custom retainers
    • Any monthly payment to SpeakerFlow for services rendered
  • Subscription Renewal: Subscriptions automatically renew until canceled by the client or SpeakerFlow.
  • Cancellation:

    • SpeakerFlow determines feasibility.
    • We reserve the right to refuse unfeasible work or request additional compensation on a case-by-case basis.
  • Scope of Services: SpeakerFlow reserves the right to change the scope of services delivered under service subscriptions.

Software Subscriptions

  • Account Setup: SpeakerFlow will open a new Zoho account, customize it to our specifications, and configure essential settings for the Zoho Suite.
    • SpeakerFlow determines the customization and settings.
    • Additional requests are subject to extra charges.
  • Billing: Handled by SpeakerFlow for the client’s Zoho account.
    • Includes per-user pricing for Zoho One.
    • Any Zoho add-ons must be purchased via SpeakerFlow.
  • Subscription Renewal: Subscriptions automatically renew until canceled by the client or SpeakerFlow.

SpeakerFlow reserves the right to make changes to this Terms of Service at any time, without notice.
